To be your own intermediary company, IRS Regulations require
that you use an independent company in which you and certain other related parties
have no more than a 10% ownership interest in the company. Here are several
low-cost options where you can have total control, use Turbo-Exchange for your
own exchanges and be in total conformity with IRS Regulations:
OPTION 1. YOU (OR YOUR ASSISTANT) PREPARE ALL OF THE EXCHANGE DOCUMENTATION
AND USE A TITLE COMPANY OR BANK FOR YOUR INTERMEDIARY: Title agencies, escrow
companies and banks can be intermediaries or escrow agents. This is so even
if you have used the title agency, escrow company or bank for the services they
offer. You will find some title agencies who are just glad to get your title
work and charge a nominal fee or no fee at all, especially if they
are fully disclaimed* from the exchange. (*The Turbo-Exchange Retainer Agreement
contains full disclaimers). In fact, some will even prepare the Turbo-Exchange
documents. This is especially so if the title agency does the title for both
the relinquished and replacement properties (which is very frequent in a simultaneous
exchange). The title agency can also escrow the sales proceeds. For names of
title agencies, check with real estate agents, real estate attorneys, real estate
schools, real estate investor associations or the yellow pages, under "Title
Companies".
OPTION 2. USE A SEPARATE UNRELATED CORPORATION TO BE YOUR OWN
INTERMEDIARY. Use a C-corporation as the intermediary entity with you as
a 10% stock owner with voting shares. You can be the president, chairman of
the board and make the important decisions. The other 90% stock ownership can
not be you or your lineal family. It also can not be your attorney, accountant,
real estate agent or mortgage banker. It needs to be totally unrelated parties.
However, cousins, aunts, uncles, nieces, nephews, close friends or business
associates are not considered related parties for the purpose of this provision.
Anyone of them can own the other 90%. The 90% stock ownership is NON-voting
shares, so this portion of the ownership has NO say in the management of the
company. They may or may not be an officer or director. They do not have to
be. Note that for the purpose of NON-voting shares, you can not use an S-Corporation,
because an S-corp is a pass-through entity where individual K-1's of the shareholder's
proportionate share of income or losses must be issued to all shareholders.
This would cause recordkeeping confusion. For this same reason, you also do
not want to use other pass-through entities such as LLC's or any type of partnership.
With a C-corp there are no such K-1 reporting forms and thus less hassles.
If you cannot find an unrelated 90% non-voting owner, Albert Aiello
will allow you to use one of his intermediary companies to be the unrelated
90% non-voting owner. Remember, the shares are non-voting so the company will
have no say on how you
should run your company and does not have to receive any compensation. You will
also be provided with legal experts who are experienced in setting up your intermediary
corporation in this manner at very reasonable one-time fees. Plus, Al will show
you how to take monies out of a C-corporation without paying double taxes or
even any taxes at all.
OPTION 3. HAVE RECIPROCAL ARRANGEMENTS WITH OTHER UNRELATED
INTERMEDIARY COMPANIES. Another way of using an intermediary company for
your exchanges and not violating IRS 1031 requirements is to have a reciprocal
arrangement with another unrelated person's intermediary company. They use your
company for their exchanges which your company preferably charges them a fee,
and vice versa, you use their company for your exchanges which their company
preferably charges you a fee.
